A. TERMS AND CONDITIONS
This is the website of the store whose trade name is BONAGE , owned by the legal entity, DENIM RETAIL GROUP, SA (hereinafter, "BONAGE" ). These Terms and Conditions apply to the domain of the website bonage.com (hereinafter the Site ).
In accordance with Law 51 of July 22, 2008, which defines and regulates electronic documents and electronic signatures, the provision of technological document storage services and electronic signature certification, and adopts other provisions for the development of electronic commerce, as amended by Law 82 of November 9, 2012, and other applicable legislation, BONAGE extends these Terms and Conditions. Taken together, these Terms and Conditions, the Privacy Policy, and any other policy or document displayed on the Site are binding on individuals or legal entities that use the Site or otherwise enter into commercial transactions with BONAGE through electronic means.
The User (hereinafter User or Users , as appropriate) accepts without reservation or limitation, each and every one of the terms and conditions of use of this Website and the services offered and regulated, according to the Terms and Conditions of the BONAGE website .
1. ACCEPTANCE OF TERMS AND CONDITIONS
These Terms and Conditions are intended to regulate access to the content and services for Users . The User is responsible and declares to have the legal capacity to enter the Site and to have no impediment under the laws of the Republic of Panama or other applicable jurisdictions to consult information, make purchases, contract, authorize the use of electronic payment methods and any other service provided by the Site .
By accessing, browsing or using the services and content of the Site , the User acknowledges having read, understood and accepts without reservation the Terms and Conditions, the Privacy Policy and any other document or policy that governs the use of the Site or the services offered therein.
The User agrees to use the Site in accordance with the Law and the provisions of the Terms and Conditions and the Privacy Policy published on the Site and agrees to use the Site for a lawful purpose.

3. USE OF THE SITE
On the Site , Users may conduct inquiries and e-commerce transactions, including, but not limited to, the purchase of merchandise permitted by law and made available to the User . To complete purchase transactions, the User must enter personal information that allows for proper identification. By entering this information, the User accepts the Terms and Conditions, Privacy Policy, and any other policies found on the Site .
The User acknowledges that BONAGE takes all security measures within its reach to provide protection to the information collected on the Site , but that such measures cannot fully guarantee its protection, as they are subject to possible attacks and/or unauthorized access by third parties (“hackers”).
The User should regularly review the Site 's Terms and Conditions, as BONAGE reserves the right to modify and update them at any time without prior notice.

The User acknowledges that BONAGE has the sole and absolute discretion to pre-select, reject, remove, and/or modify any content on the Site , including, but not limited to, comments, posts, opinions, etc., submitted by Users or clients. The User certifies and confirms that the information provided is accurate and legitimate, and that the User has the rights to register, disseminate, and/or publish it on the Site .
BONAGE will not be liable to the User or to any third party for damages, infringements, crimes, contraventions or any other kind of illegal acts that may be committed, whether they concern intellectual property rights, the honor and reputation of persons, their personal data, credit, consumer rights, or any other right that may be violated as a result of the misuse of the Site by the Users .
The User agrees that BONAGE , at its sole discretion, may access, retain, monitor, manage, delete, and modify their account information and all content on the Site . The User agrees that BONAGE may cancel, delete, or block their registration on the Site without justification or prior notice and that this will not entitle the User to claim any compensation.
If the User finds links to other websites through various buttons, links, banners, etc., on the Site , these are managed by third parties. The Site may contain links or connections to other websites due to its very nature, without this implying any liability for BONAGE . Among the sites that may be linked to, but not limited to, are Facebook, Pinterest, Twitter, and other similar sites . In such cases, the User must be aware of and accept the terms, policies, and conditions of use of those sites . By accepting and accessing these sites , the User is solely responsible for the use of their information and content on those sites .
BONAGE acknowledges that FACEBOOK, PINTEREST and TWITTER, as well as other Social Networking Sites , are registered trademarks of their true owners and that the use or mere mention of them in this document does not imply misuse of them, in accordance with the general guidelines, and the terms and conditions of FACEBOOK and TWITTER or others like them.
5. PURCHASE CONDITIONS
By using the Site , Users agree that the purchase of goods, enjoyment of promotions, discounts, activities and any commercial activity carried out through the Site or through digital media owned by BONAGE , will be subject to the delivery, exchange and return policies and in general, of BONAGE, in accordance with said terms as stated on the Site.
6. RESPONSIBILITIES AND GUARANTEES.
BONAGE declares that it has taken all necessary measures, within its capabilities and the current state of technology, to ensure the proper functioning of the Site and to prevent the existence and transmission of viruses and other harmful components to Users . However, BONAGE cannot guarantee the reliability, usefulness, or accuracy of the services or information provided through the Site . Consequently, BONAGE does not guarantee and is not liable for: (i) the continuity of the Site 's content; (ii) the absence of errors in said content or products; (iii) the absence of viruses and/or other harmful components on the Site or the server that hosts it; (iv) the invulnerability of the Site and/or the impenetrability of the security measures adopted therein; (v) the lack of usefulness or performance of the Site 's content and products. (vi) any damages or losses caused to himself or to a third party by any person who violates the conditions, rules and instructions that BONAGE establishes on the Site or through the breach of its security systems.
If the User becomes aware of any illicit, illegal, or unlawful content, or content that may infringe intellectual and/or industrial property rights, they must immediately notify BONAGE so that it can take the appropriate measures.
7. COMMUNICATIONS LICENSE.
In the event that the User sends information of any kind to BONAGE through the Site , using the channels provided for this purpose on the Page itself, the User declares, warrants and accepts that he has the right to do so freely, that such information does not infringe any intellectual property rights, trademark rights, patent rights, trade secrets, or any other rights of third parties, that such information is not confidential and that such information is not harmful to third parties.
The User acknowledges and accepts responsibility and will hold BONAGE harmless for any communication that he or she provides personally or on his or her behalf, extending such responsibility without restriction, and declaring that he or she knows and ensures the accuracy, legality, originality and ownership thereof.
8. INTELLECTUAL AND INDUSTRIAL PROPERTY RIGHTS.
This Website is governed by national and international intellectual and industrial property laws. Under no circumstances shall the User 's access to and browsing of the Website , or the use, acquisition, and/or contracting of products or services offered through it, be understood to imply a waiver, transfer, license, or assignment, in whole or in part, of said rights by BONAGE .
BONAGE owns or has obtained the corresponding license for the intellectual and industrial property rights of BONAGE , as well as the intellectual, industrial and image rights and/or licenses for the content and products available through it.
It is not permitted to remove, circumvent, or manipulate the copyright notice and any other identifying information regarding BONAGE's rights.
Furthermore, it is prohibited to modify, copy, reuse, exploit, reproduce, publicly communicate, make second or subsequent publications, upload files, send by email, transmit, use, process or distribute in any way all or part of the content and products included on the Site for public or commercial purposes, without the express written authorization of BONAGE.
9. DURATION AND MODIFICATION.
BONAGE may modify the Terms and Conditions stipulated herein, in whole or in part, by publishing any changes in the same manner as these Terms and Conditions appear, through any type of communication directed to the Users , without such communication having a personal character.
The validity of these Terms and Conditions coincides, therefore, with the time of their exposure, until they are modified in whole or in part, at which time the modified Terms and Conditions will become valid.
Notwithstanding any provisions in the Terms and Conditions that may be established, BONAGE may terminate, suspend, or interrupt access to the website content at any time without prior notice, and the User shall not be entitled to any compensation. Following such termination, the prohibitions on the use of the content set forth above in these Terms and Conditions shall remain in effect.
10. INDEMNITY
The User agrees to indemnify and hold harmless BONAGE , its shareholders, parent companies, subsidiaries, affiliates, directors, officers, executives, managers, and employees from and against any and all liability actions, claims, complaints, penalties, interest, costs, expenses, fines, and fees initiated by third parties due to or arising from any of the User's actions on the Site .
11. RESTRICTIONS ON THE PROVISION OF SERVICES
Users agree that at all times during their use of the Site and the services offered by BONAGE through it, they will refrain from any conduct that violates the law; likewise, they will be liable for any damages suffered by BONAGE should such conduct result. BONAGE reserves the right to discontinue providing services to any User (s) who violate, or—in BONAGE 's judgment—appear to violate:
Safeguarding public order and public safety.
The protection of public health or of natural persons who have the status of consumers or Users , even when they act as investors.
Respect for the dignity of the person and the principle of non-discrimination on the grounds of race, sex, religion, opinion, nationality or any other personal or social circumstance.
Due process, in any of the judicial and administrative jurisdictions.
The protection of youth and children.
Current legislation on consumer protection.
Violation of any legal provision.
12. GENERAL INFORMATION
The headings of the various clauses are for informational purposes only, and will not affect, qualify or expand the interpretation of the Terms and Conditions.
In the event that any provision or provisions of these Terms and Conditions are deemed to be invalid or unenforceable, in whole or in part, by any competent court, tribunal or administrative body, such invalidity or unenforceability will not affect the other provisions of the Terms and Conditions.
The failure of BONAGE to exercise or enforce any right shall not constitute a waiver thereof, unless acknowledged and agreed to in writing by BONAGE.
13. APPLICABLE LAW AND COMPETENT COURTS
These Terms and Conditions, as well as the relationship between the User and BONAGE, are governed by the laws of the Republic of Panama. Both the User and BONAGE agree that any dispute or controversy arising from or related to the use of the Site , as well as its interpretation, application, execution, and termination, including, but not limited to, the Privacy Policy and the Site 's Terms and Conditions, shall be resolved through arbitration, after an attempt at conciliation, by the Panama Center for Conciliation and Arbitration, in accordance with its rules of procedure.
The User acknowledges that the use of the Site and its services or content is prohibited in all jurisdictions that do not recognize the validity of these Terms and Conditions. The User 's use of the Site does not establish a consumer relationship between said User and BONAGE .
